These Terms are a legal agreement between you and [REGISTERED LEGAL NAME] (“ngnsimulation”, “we”, “us”) governing your use of our website and products. Please read them carefully. If you access a product through an institution, your institution's agreement with us also applies.
1. Acceptance & eligibility
By creating an account, purchasing a plan, or using the Services, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Services.
You must be the age of majority in your province or territory (18 in Alberta), or have the involvement of your institution, to enter into these Terms. You are responsible for ensuring your use complies with laws that apply to you.
2. Definitions
- “Services” — our marketing website and our products (NCLEX IT, Lumina AI, CareAide, SimMedAi, and the MyLMS AI engine).
- “Content” — questions, explanations, simulations, software, and other materials we provide.
- “User Content” — anything you submit, such as responses, notes, or messages.
- “Institution” — a college, employer, or organization that licenses a product for its users.
3. Your account
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use. Accounts are personal to you and may not be shared.
4. Plans, billing & auto-renewal
- Paid plans, pricing, and billing periods are shown at checkout. Prices are in the currency stated and exclusive of taxes unless noted.
- Payments are processed by our payment processor ([PAYMENT PROCESSOR]); by purchasing you authorize the applicable charges.
- Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We disclose renewal terms before purchase.
- We may change prices or plan features on a going-forward basis with reasonable advance notice; changes do not affect the current paid period.
5. Cancellation & refunds
You may cancel an auto-renewing subscription at any time from your account settings or by emailing hello@ngnsimulation.com; cancellation stops the next renewal and takes effect at the end of the current paid period.
We honour the refund and cancellation rights required by Alberta's Consumer Protection Act and the Internet Sales Contract Regulation, and any refund terms stated at purchase. Except where a non-waivable legal right applies, fees for a started billing period are generally non-refundable.
6. Licence to use the Services
Subject to these Terms and your plan, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services for your own study or instruction. All use must comply with our Acceptable Use Policy.
7. Intellectual property
We own the Services and all Content, including the UI, API, and underlying algorithms, end-to-end. Except for the limited licence above, no rights are granted to you. Our names, logos, and brand features may not be used without our prior written permission.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Services.
8. Your content
You retain ownership of your User Content. You grant us a limited licence to host, process, and display it solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for your User Content and must have the rights to submit it.
9. Educational disclaimer
- The Services are exam-preparation and educational tools. They are not accredited instruction and do not replace your nursing or health-care program.
- We do not guarantee any particular result, score, or that you will pass the NCLEX, CPNRE, HCA, or any examination.
- Content, including AI-generated output, is for educational purposes only and is not medical, clinical, or professional advice. Never rely on it for patient care.
10. Third-party services
The Services may rely on or link to third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms.
11. Disclaimers
Except as required by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that content is complete or accurate.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to indemnify and hold us harmless from claims and costs arising out of your misuse of the Services, your User Content, or your violation of these Terms or applicable law.
14. Suspension & termination
We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, or to protect the Services or others. You may stop using the Services at any time. Provisions that by their nature should survive termination (e.g., IP, disclaimers, liability, governing law) will survive.
15. Governing law & disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Alberta have jurisdiction, and you consent to their venue, except where applicable consumer-protection law gives you the right to bring proceedings elsewhere. Nothing in these Terms limits non-waivable consumer rights you have under the law of your home jurisdiction.
16. Institutional & white-label access
If you access a product through an Institution, your use is also subject to the agreement between us and that Institution, which may modify or supersede parts of these Terms for that access. Institutional and reseller terms are set out in separate written agreements.
17. Changes & contact
We may update these Terms from time to time; material changes will be notified by updating the “Last updated” date and, where appropriate, additional notice. Continued use after changes means you accept them.
